Terms of Service

Please read these Terms carefully. By creating an account, purchasing, enrolling, or otherwise using the ZeroBlue platform and services, you agree to these Terms of Service. If you are accepting on behalf of a school district, school, or other organization, you represent that you are authorized to bind that organization.

1. Who we are

These Terms of Service (“Terms”) are a binding agreement between you and ZeroBlue, LLC, a North Carolina limited liability company (“ZeroBlue,” “we,” “us,” or “our”), located in Raleigh, North Carolina. They govern your access to and use of the ZeroBlue website, the ZeroBlue learning and certification platform, our certification programs, digital credentials, the public credential-verification page, and related services (together, the “Services”).

2. Definitions

  • Certification Program — a ZeroBlue course of study that, on successful completion, results in a ZeroBlue digital credential.
  • Credential — a verifiable certificate ZeroBlue issues upon completion, identified by a verification code and resolvable on our public verification page.
  • District / School — an educational organization that licenses the Services for its educators and/or students.
  • Educator / Learner — an individual who enrolls in and completes a Certification Program.
  • Student Roster Record — minimal information about a K-12 student, administered by a District/School and its educators.
  • Account — your individual or organizational login to the Services.

3. Eligibility and accounts

You must be able to form a binding contract to create an Account. Individual accounts are intended for adults (educators and professional learners). K-12 students do not create accounts; they are administered by their District/School as roster records, consistent with our Privacy Policy.

You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your Account. Notify us promptly of any unauthorized use. Privileged roles (district, school, and administrative accounts) may be required to use multi-factor authentication.

4. The Services

ZeroBlue provides vendor-neutral, standards-aligned AI-literacy certification for educators and students, along with district reporting and credential verification. We may update, improve, add, or discontinue features of the Services from time to time. We are not affiliated with, and do not endorse, any particular AI vendor or product referenced in our content.

5. Certifications and credentials

Upon meeting a Certification Program’s requirements, ZeroBlue issues a Credential that may document professional-development (PD) hours and standards alignment. Credentials are verifiable through our public verification page using their verification code.

You agree not to falsify, alter, share, or misrepresent any Credential or completion record. We may suspend, withhold, or revoke a Credential obtained through fraud, misrepresentation, account sharing, or violation of these Terms. ZeroBlue does not guarantee that any third party (employer, district, state agency, or licensing body) will accept or recognize a Credential or its PD hours; acceptance is at the discretion of that third party.

6. District and school licenses

Districts and Schools may license the Services under a separate order, agreement, or data privacy agreement (“DPA”). The licensing organization is responsible for: designating authorized users and seats; obtaining and maintaining any parental or guardian consents required by law before enrolling students (including consent under the Children’s Online Privacy Protection Act (“COPPA”) school-consent provisions where applicable); and ensuring its use of the Services complies with the Family Educational Rights and Privacy Act (“FERPA”) and applicable state law.

With respect to student education records processed through the Services, ZeroBlue acts as a school official / service provider under the direction of the District/School and only as described in our Privacy Policy and any applicable DPA. Where a separately signed DPA conflicts with these Terms regarding student data, the DPA controls for that subject matter.

7. Funding eligibility — informational only

ZeroBlue’s Certification Programs are designed to be eligible for use of certain federal education funds (for example, ESSA Title I, Title II-A, and Title IV-A) and other funding sources. Any statement about funding eligibility is informational only and does not constitute a guarantee, approval, or representation that any particular funding will be granted, allowable, or available to you. ZeroBlue does not apply for or receive such funds on your behalf, and nothing here is legal, financial, grant-compliance, or accounting advice. You are responsible for confirming allowable uses with your funding authority.

8. Purchases, fees, and payment

Fees for individual purchases are presented at the time of purchase and may be processed by a third-party payment processor. Districts and Schools may purchase by purchase order or invoice under agreed payment terms. Unless required by law or expressly stated otherwise, fees are non-refundable once a Certification Program has been accessed. You are responsible for applicable taxes.

9. Acceptable use

You agree not to: (a) share, sell, or transfer account credentials, seats, or Credentials; (b) cheat on, circumvent, or assist others in circumventing assessments; (c) copy, scrape, reproduce, resell, or create derivative works from the Services or our content except as expressly permitted; (d) reverse engineer or attempt to gain unauthorized access to the Services or other users’ data; (e) upload unlawful, infringing, harmful, or inappropriate content; or (f) use the Services in violation of any applicable law or these Terms.

10. Intellectual property

The Services and all content, curriculum, assessments, designs, software, and the ZeroBlue name, logo, mascots, and marks are owned by ZeroBlue or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and content for your own (or your licensed organization’s) internal educational use. All rights not expressly granted are reserved.

11. Your content and submissions

You retain ownership of work product you submit (for example, capstone projects). You grant ZeroBlue a non-exclusive, worldwide, royalty-free license to host, store, process, and display your submissions solely to provide, evaluate, and support the Services and issue Credentials. Student work and records are handled per Section 6 and our Privacy Policy.

12. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Our Accessibility statement is available at learn.zeroblueai.com/accessibility.

13. Third-party services and links

The Services may link to or rely on third-party services (such as payment processors or embedded media). We are not responsible for third-party services, and your use of them is governed by their own terms and policies.

14. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ZeroBlue does not warrant that the Services will be uninterrupted, error-free, or secure, or that any particular educational, professional, employment, funding, or compliance outcome will result from use of the Services. Nothing in the Services constitutes legal, financial, or professional advice.

15. Limitation of liability

To the maximum extent permitted by law, ZeroBlue and its members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or relating to the Services. To the maximum extent permitted by law, ZeroBlue’s total liability for any claim relating to the Services will not exceed the amount you paid to ZeroBlue for the Services in the twelve (12) months preceding the claim.

16. Indemnification

You agree to indemnify and hold harmless ZeroBlue from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law, except to the extent prohibited by law (including for public-entity users where such indemnification is not permitted).

17. Term, suspension, and termination

These Terms apply while you use the Services. We may suspend or terminate access for breach of these Terms, suspected fraud, or to protect the Services or other users. You may stop using the Services at any time. Credentials validly earned before termination remain verifiable unless revoked for cause under Section 5. Sections that by their nature should survive termination will survive.

18. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms with a new effective date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

19. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in North Carolina, and you consent to their jurisdiction, except where applicable law (including for public entities) provides otherwise.

20. Miscellaneous

These Terms (together with any order, license, DPA, and our Privacy Policy) are the entire agreement between you and ZeroBlue regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
